Specialist Focus. Seller Representation.

About Distribution Business Broker

Distribution Business Broker is SeaRidge Advisory’s specialist brand for owners of U.S. distribution and wholesale companies. We help owners assess a potential sale and manage the work of bringing a business to market.

Business brokerage focused on the people, relationships and operating assets behind the earnings.

The Firm Behind the Brand

Part of SeaRidge Advisory

The distribution brand brings an industry-specific starting point to SeaRidge Advisory’s seller-side work.

SeaRidge Advisory was co-founded by Dave Carlson and Matt Lowd after their own experience building, operating and helping sell businesses. That background informs how the firm works with owners: understand the operation, explain the choices and keep the seller involved in decisions.

For a distributor, the sale conversation needs to connect financial results with how the company buys, holds and sells products. A strong year of earnings does not answer every question about supplier access, stock quality, customer retention or the owner’s responsibilities.

Our work brings those questions into sale preparation, buyer discussions and diligence. The goal is to help an owner evaluate the commercial choices with a clear understanding of the business and the proposed terms.

Leadership

The SeaRidge Advisory Team

Meet the founders behind SeaRidge Advisory and its distribution-focused work.

Dave Carlson

Co-Founder, SeaRidge Advisory

Dave built and sold his own product business before co-founding SeaRidge Advisory. He works with owners on valuation, exit planning and confidential sales, including the trade-offs between an offered price, payment structure and responsibilities after closing.

Matt Lowd

Co-Founder, SeaRidge Advisory

Matt served as Chief Operating Officer of a medical manufacturing business that he helped build and sell. He works with owners on sale preparation, buyer qualification and negotiation, with attention to management, customer relationships and the work needed through diligence.

Distribution and Wholesale Focus

Why Distribution Details Matter

Transferable earnings depend on more than products moving through a warehouse. We look at the operating relationships and records a buyer will need to understand.

Inventory and Cash Requirements

Stock condition, aging and purchasing cycles help explain cash needs. Inventory treatment and normal working capital must be defined in the proposed transaction, not assumed from a headline price.

Supplier and Customer Relationships

Concentration, rebates, territory rights, contract terms and consent requirements can affect continuity. We help owners identify what is documented and what depends on personal relationships.

Management and Reporting

Buyers need to understand pricing, margins, inventory controls and who makes operating decisions. Reliable reporting and defined responsibilities support a clearer diligence process.

Operating Model and Fit

Industrial, food and beverage, building-materials, medical-supply, specialty B2B and wholesale companies face different diligence questions. Route or territory businesses are considered in the context of their distribution operations and transferable rights.

Working With an Owner

What We Handle During a Sale

The owner makes the commercial decisions. We organize the process and help clarify the choices.

  1. Prepare the Business for Review

We help organize financial and operating information, identify questions a buyer is likely to ask and discuss value in light of the company’s actual condition.

  2. Manage Buyer Discussions

We present the business, assess buyer fit and financial readiness, and coordinate information requests. Confidentiality agreements and staged disclosure help control access but cannot remove every disclosure risk.

  3. Coordinate the Transaction

We help compare offers and deal terms, manage diligence requests and coordinate with the owner’s legal and accounting advisors. Those advisors remain responsible for their professional advice.

Representation and Access

Seller Representation, Buyer Registration

We represent sellers. Buyers can register acquisition criteria and use the Listings page to reach public opportunity summaries when available.

Buyer registration supports seller-side matching. It does not establish buyer representation, guarantee a matching business or authorize unrestricted access to a seller’s information. This is business-sale advisory, not product sourcing, freight brokerage or a product marketplace.

Discuss Your Distribution Business

Tell us what you distribute, your role in the company and what is prompting you to consider a sale.

The first conversation is a chance to discuss your situation and possible next steps. You do not need to have every record ready to get in touch.
